By visiting our site and/or purchasing something from us, you engage in our "Service" and agree to be bound by the following terms and conditions ("Terms of Service", "Terms"), including those additional terms and conditions and policies referenced herein and/or available by hyperlink.
Section 1 - Parts Square Software as a Service Terms
By agreeing to these Terms of Service, you represent that you are at least the age of majority in your state or province of residence. You may not use our products for any illegal or unauthorized purpose nor may you, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright laws).
A breach or violation of any of the Terms will result in an immediate termination of your Services.
Section 2 - General Conditions
We reserve the right to refuse service to anyone for any reason at any time. You understand that your content (not including credit card information), may be transferred unencrypted and involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices. Credit card information is always encrypted during transfer over networks.
Section 3 - Accuracy, Completeness and Timeliness of Information
We are not responsible if information made available on this site is not accurate, complete or current. The material on this site is provided for general information only and should not be relied upon or used as the sole basis for making decisions without consulting primary, more accurate, more complete or more timely sources of information.
Section 4 - Modifications to the Service and Prices
Prices for our products are subject to change without notice. We reserve the right at any time to modify or discontinue the Service (or any part or content thereof) without notice at any time. We shall not be liable to you or to any third-party for any modification, price change, suspension or discontinuance of the Service.
Section 5 - Products or Services
Certain products or services may be available exclusively online through the website. These products or services may have limited quantities and are subject to return or exchange only according to our Return Policy.
Section 6 - Accuracy of Billing and Account Information
We reserve the right to refuse any order you place with us. We may, in our sole discretion, limit or cancel quantities purchased per person, per household or per order. You agree to provide current, complete and accurate purchase and account information for all purchases made at our store.
Section 6a - Payment Authorization, Subscriptions, and Billing Changes
Account authority. By creating a paid account, starting a trial that converts to a paid subscription, purchasing a product or service, or confirming a billing change, you represent that you are authorized to act for and bind the account holder and the business associated with the account.
Payment-method authorization. You authorize Parts Square LLC and its payment processor to store the payment method you provide and charge it for the amounts you approve through the sign-up, checkout, order, invoice, or Billing screens. Authorized charges may include subscription fees, one-time fees, setup or onboarding fees, prorated charges, usage-based or transaction fees, payment-processing fees where permitted, taxes, and other charges expressly disclosed in your applicable order, plan, billing summary, invoice, or agreement.
Recurring subscriptions. Unless otherwise stated, paid subscriptions automatically continue and renew at the billing frequency and price displayed when you enroll or subsequently approve a billing change. You authorize Parts Square LLC to charge the payment method on file on each billing date until the subscription is canceled or otherwise terminated. The applicable amount, billing interval, and next billing date are displayed in the Billing section of your Parts Square account.
Free trials. When a free trial requires a payment method, no recurring subscription fee will be charged until the disclosed trial expiration date, although separately disclosed one-time fees may be charged during sign-up. Unless you cancel before the trial expiration date and time shown during enrollment, the trial will automatically convert to a paid subscription and the payment method on file will be charged the disclosed subscription amount. The subscription then continues at the disclosed billing frequency until canceled. We send a reminder before a trial converts, to the email address on the account.
One-time fees. Products or services identified as one-time, setup, implementation, onboarding, support, or upfront charges are charged as shown during sign-up or confirmation. Except where required by law or expressly stated otherwise, one-time fees are nonrefundable once charged, including when the related subscription, product, feature, or service is later canceled or removed. This applies to one-time fees incurred during a later billing change as well as those collected at initial sign-up.
Plan and product additions. When you add a plan, product, feature, service, or add-on during an existing billing period, Parts Square may charge the disclosed prorated amount for the remainder of that billing period immediately. The full recurring amount for that item is then included beginning on the next billing date shown in the Billing Change Summary.
Plan and product removals. Removing or downgrading a plan, product, feature, service, or add-on does not reverse a charge already assessed for the current billing period and does not create a refund or account credit unless the Billing Change Summary, the Cancellation & Refund Policy, or another written agreement expressly states otherwise. Removal affects future billing according to the effective date displayed when the change is confirmed.
Transaction and usage fees. Certain plans include transaction fees, usage-based charges, percentage-based fees, minimum fees, or other variable charges. The calculation method and applicable rate are disclosed in the selected plan, Billing screen, order, invoice, or separate agreement. You authorize Parts Square to calculate and charge these amounts according to those disclosed terms.
Payment-processing fees. Where permitted by applicable law and payment-network rules, your account may be subject to an additional payment-processing fee. Any such fee will be separately disclosed or itemized in your Billing screen, checkout, invoice, or governing agreement before it is charged.
Cancellation. You may cancel or modify eligible subscriptions through the Billing section of your Parts Square account by navigating to Settings → Administration → Billing, or by selecting Billing from your user-profile menu. Cancellation stops future renewal charges and ordinarily becomes effective at the end of the current paid billing period unless a different effective date is displayed or agreed in writing.
Refunds and credits. Subscription, one-time, prorated, transaction, usage, and payment-processing charges are nonrefundable after they have been assessed, except where required by law, expressly provided in the Cancellation & Refund Policy, displayed in the applicable Billing Change Summary, or agreed by Parts Square in writing. Parts Square may issue a discretionary refund or credit without creating an obligation to provide a similar refund or credit in another matter.
Billing inquiries and payment disputes. You are responsible for reviewing billing summaries, invoices, receipts, and account activity. Before initiating a chargeback or payment dispute, you agree to contact Parts Square at support@square.parts and provide a reasonable opportunity to investigate and correct any billing error. You agree not to submit a payment dispute that falsely characterizes an authorized charge as unauthorized or fraudulent. Nothing in this paragraph waives any right that cannot lawfully be waived under applicable law or payment-network rules.
Electronic records. Your electronic acceptance, including checking an agreement box or selecting a button confirming a purchase or billing change, constitutes your authorization and agreement to the displayed charges and terms. Parts Square may retain electronic records of your acceptance, including the applicable account, user, date and time, IP address, payment transaction, billing summary, and the versions of the terms and policies presented to you.
Section 7 - Optional Tools
We may provide you with access to third-party tools over which we neither monitor nor have any control nor input. You acknowledge and agree that we provide access to such tools "as is" and "as available" without any warranties, representations or conditions of any kind and without any endorsement.
Section 8 - Third-Party Links
Certain content, products and services available via our Service may include materials from third-parties. Third-party links on this site may direct you to third-party websites that are not affiliated with us. We are not responsible for examining or evaluating the content or accuracy and we do not warrant and will not have any liability or responsibility for any third-party materials or websites.
Section 9 - User Comments, Feedback and Other Submissions
If, at our request, you send certain specific submissions or send creative ideas, suggestions, proposals, plans, or other materials, whether online, by email, by postal mail, or otherwise (collectively, 'comments'), you agree that we may, at any time, without restriction, edit, copy, publish, distribute, translate and otherwise use in any medium any comments that you forward to us.

Section 11 - Errors, Inaccuracies and Omissions
Occasionally there may be information on our site or in the Service that contains typographical errors, inaccuracies or omissions. We reserve the right to correct any errors, inaccuracies or omissions, and to change or update information or cancel orders if any information in the Service or on any related website is inaccurate at any time without prior notice.
Section 12 - Prohibited Uses
In addition to other prohibitions as set forth in the Terms of Service, you are prohibited from using the site or its content for any unlawful purpose, to violate any laws, to infringe upon intellectual property rights, to harass or discriminate, to submit false information, to upload malicious code, or to interfere with the security features of the Service.
Section 13 - Disclaimer of Warranties; Limitation of Liability
We do not guarantee that your use of our service will be uninterrupted, timely, secure or error-free. You expressly agree that your use of, or inability to use, the service is at your sole risk. The service is provided 'as is' and 'as available' for your use, without any warranties of any kind.
Section 14 - Indemnification
You agree to indemnify, defend and hold harmless Parts Square LLC and our parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, and employees from any claim or demand made by any third-party due to or arising out of your breach of these Terms of Service.
Section 15 - Severability
In the event that any provision of these Terms of Service is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law.
Section 16 - Termination
These Terms of Service are effective unless and until terminated by either you or us. If you fail to comply with any term or provision of these Terms of Service, we may terminate this agreement at any time without notice.
Section 17 - Entire Agreement
These Terms of Service and any policies or operating rules posted by us on this site constitute the entire agreement and understanding between you and us and govern your use of the Service.
Section 18 - Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of Florida, USA.
